These Terms of Service govern your use of ailuketableware.com and purchases from AILUKE Stainless Tableware. By using this website, requesting a quotation, approving a sample or artwork, submitting a purchase order, or placing an order, you agree to these terms. If a signed agreement, accepted quotation, pro forma invoice, or purchase order expressly conflicts with these terms, the specifically agreed written terms take priority for that order.
1. Business customers and authority
Our website primarily serves distributors, importers, hospitality suppliers, restaurants, retailers, and other business customers. By submitting an inquiry or order on behalf of an organization, you confirm that you are authorized to act for that organization and that the information you provide is accurate and complete.
2. Products and website information
We make reasonable efforts to present accurate product descriptions, dimensions, weights, materials, finishes, colors, images, packaging details, and availability. Minor variations may occur because of manufacturing tolerances, lighting, screen display, polishing, coating, packaging, or production batches. Website content is for general reference; the final approved specification, sample, artwork, quotation, and order confirmation control.
We may correct errors, update information, modify products, or discontinue items without prior notice. We may refuse or limit an inquiry or order where information is incomplete, pricing is erroneous, supply is unavailable, or the proposed transaction creates compliance or commercial risk.
3. Quotations and orders
Website inquiries are not accepted orders. A quotation is valid only for the period stated in it and may depend on quantity, specifications, packaging, destination, freight, exchange rates, raw-material costs, and production schedule. An order becomes binding when we issue written acceptance or an order confirmation and any required deposit or payment has cleared.
Minimum order quantity, tooling, sample, artwork, mold, packaging, testing, certification, inspection, and other charges will be stated in the quotation where applicable.
4. Samples, specifications, and approvals
Customers are responsible for checking samples, drawings, dimensions, finishes, colors, artwork, trademarks, spelling, barcode data, carton marks, packaging, and regulatory requirements before approval. Written approval authorizes production according to the approved materials. Changes requested after approval may affect cost and lead time and require a revised quotation.
Pre-production or reference samples may be handmade or produced differently from mass production and may show reasonable non-material variation. Production will follow the agreed commercial tolerances and written specifications.
5. Private label and intellectual property
You retain ownership of logos, artwork, trademarks, and other materials that you provide. You grant us a limited right to use those materials solely to quote, sample, manufacture, package, and fulfill your order. You confirm that you have all rights and permissions needed for their use and that they do not infringe third-party rights.
Unless otherwise agreed in writing, our website content, product photography, text, graphics, and branding may not be copied, republished, or commercially used without permission.
6. Pricing, payment, taxes, and charges
Prices are stated in the currency shown in the quotation and exclude taxes, duties, customs charges, bank fees, inspection fees, freight, insurance, and other charges unless expressly included. Payment terms, deposit requirements, balance due date, and accepted method are set out in the quotation or invoice.
You are responsible for accurate payment details and all fees charged by your bank or payment provider. We may pause production or shipment if payment is late, incomplete, reversed, or subject to a compliance review.
7. Lead times, shipping, title, and risk
Production and delivery dates are estimates unless expressly guaranteed in writing. Lead time begins only after required payment, specifications, samples, artwork, and other approvals are complete. Delays caused by late approvals, requested changes, carriers, customs, inspections, port conditions, force majeure, or events beyond our reasonable control do not constitute a breach.
Shipping terms, transfer of risk, title, freight responsibility, and import obligations follow the Incoterm or delivery term stated in the quotation or invoice. The customer is responsible for import licenses, customs clearance, duties, taxes, and destination compliance unless we expressly agree otherwise in writing.
8. Inspection, claims, returns, and cancellations
Please inspect goods promptly upon delivery and report any issue within the periods and with the evidence described in our Return and Refund Policy. Custom, private-label, engraved, custom-packaged, and made-to-order goods are generally non-returnable unless we verify a defect or material non-conformity. Cancellation charges may apply after materials are purchased, approvals are given, or production begins.
9. Product use and compliance
Customers must evaluate whether products are suitable for their intended application and market. Unless expressly included in the written specification, the customer is responsible for destination-country labeling, testing, certification, food-contact, packaging, import, resale, and other legal or regulatory requirements. Products must be used, cleaned, stored, and maintained appropriately.
10. Limited warranty and remedies
We warrant that, at delivery, goods will materially conform to the agreed written specification and be free from material manufacturing defects under normal intended use. This warranty does not cover ordinary wear, scratching, staining, misuse, improper cleaning, corrosion caused by harsh chemicals or unsuitable environments, unauthorized alteration, accidental damage, or failure to follow care instructions.
For a verified claim, we may provide replacement, repair, account credit, partial refund, or refund for the affected goods, as appropriate. To the maximum extent permitted by applicable law, these are the customer's exclusive remedies.
11. Limitation of liability
To the maximum extent permitted by law, AILUKE Stainless Tableware will not be liable for indirect, incidental, special, punitive, or consequential loss, including lost profits, lost revenue, business interruption, loss of contracts, or reputational harm. Our total liability arising from an order will not exceed the amount paid for the specific affected goods. Nothing in these terms excludes liability that cannot lawfully be excluded.
12. Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, fire, epidemic, war, civil disturbance, labor disruption, utility or network failure, government action, export or import restriction, sanctions, carrier disruption, port congestion, or raw-material shortage. We will make reasonable efforts to notify the customer and resume performance.
13. Privacy
Our collection and use of personal information are described in our Privacy Policy. Business communications may be retained as needed to provide quotations, fulfill orders, maintain records, prevent fraud, and meet legal obligations.
14. Changes and severability
We may update these terms by posting a revised version on this website. The version in effect when an order is accepted applies to that order unless otherwise agreed. If any provision is found unenforceable, the remaining provisions continue in effect.
15. Governing terms and disputes
The governing law and dispute forum stated in an accepted quotation, invoice, or written sales agreement apply. If none is stated, the laws and competent courts of the jurisdiction where the selling entity identified on the invoice is established will apply, without regard to conflict-of-law rules. The parties should first attempt in good faith to resolve any dispute through written business discussions.
